These Terms of Service (“Terms”) govern the access to and use of UltraVisit, an electronic medical record (EMR) platform operated and powered by ALTRUE INC. (“ALTRUE”, “we”, “us”, or “our”).
By accessing or using UltraVisit, you (“Clinic”, “User”, “you”) agree to be bound by these Terms. If you do not agree, you must not use the service.
1. Description of the Service
UltraVisit is a software-as-a-service (SaaS) electronic medical record (EMR) platform designed to assist clinics and medical practitioners in recording, managing, and accessing patient medical information.
UltraVisit:
- Is not a medical device
- Does not provide medical advice, diagnosis, or treatment
- Does not replace professional medical judgment
All medical decisions remain solely the responsibility of licensed healthcare professionals.
2. Eligibility and Account Registration
- UltraVisit may only be used by licensed medical practitioners, clinics, and authorized clinic staff.
- Clinics are responsible for:
- Ensuring the accuracy of information entered
- Managing user accounts and access levels
- Safeguarding login credentials
- You agree to provide accurate and complete registration information.
3. User Responsibilities
By using UltraVisit, you agree to:
- Use the platform in compliance with all applicable Philippine laws and regulations
- Enter accurate, lawful, and ethical medical records
- Ensure that patient data is collected with proper consent
- Maintain confidentiality of login credentials
- Prevent unauthorized access or misuse of the system
You must not:
- Use UltraVisit for unlawful or fraudulent purposes
- Attempt to bypass security features
- Access data without proper authorization
4. Fees, Billing, and Payments
- UltraVisit is offered under subscription-based plans with applicable pricing, usage limits, and terms as published on ultravisit.ph.
- Fees are billed monthly or annually, depending on the plan selected.
- Payments must be made on or before the due date.
- Failure to pay may result in:
- Suspension of access
- Termination of the account after notice
- Subscription fees are non-refundable, except where required by law.
ALTRUE reserves the right to revise pricing with prior notice.
5. Data Ownership and Privacy
- Clinics retain full ownership of patient medical records entered into UltraVisit.
- UltraVisit acts as a data processor, and in limited cases, a data controller, in accordance with the Privacy Policy.
- All data processing is governed by the UltraVisit Privacy Policy, which forms part of these Terms.
6. Data Retention and Access Upon Termination
- Upon termination, clinics may request a data export within a reasonable period.
- ALTRUE may retain data where required by law or for legitimate business purposes.
- Access to UltraVisit will be disabled after termination or prolonged non-payment.
7. Service Availability and Support
- UltraVisit is provided on an “as is” and “as available” basis.
- ALTRUE does not guarantee uninterrupted or error-free service.
- Planned maintenance may result in temporary downtime.
- Support is provided during business hours through official support channels.
8. Intellectual Property
- All software, trademarks, logos, and content related to UltraVisit are owned by ALTRUE INC.
- Clinics are granted a limited, non-exclusive, non-transferable license to use UltraVisit during the subscription period.
- No rights are granted beyond those expressly stated.
9. Limitation of Liability
To the fullest extent permitted by law:
- UltraVisit and ALTRUE shall not be liable for:
- Medical decisions or outcomes
- Loss of income, profits, or data due to user error
- Indirect, incidental, or consequential damages
- Total liability, if any, shall be limited to the total subscription fees paid by the clinic in the three (3) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless ALTRUE and UltraVisit from any claims, damages, liabilities, or expenses arising from:
- Misuse of the platform
- Violation of laws or regulations
- Breach of these Terms
11. Suspension and Termination
ALTRUE may suspend or terminate access to UltraVisit if:
- These Terms are violated
- Fees remain unpaid after notice
- The platform is used unlawfully or unethically
Clinics may terminate their subscription by providing notice, subject to billing terms.
12. Modifications to the Service or Terms
ALTRUE may modify these Terms or the UltraVisit service from time to time. Continued use of UltraVisit after changes constitutes acceptance of the updated Terms.
13. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
Any disputes shall be filed exclusively in the proper courts of Makati City.
